Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a binding agreement between you ("User," "Client," or "you") and HK Law Advocates ("Firm," "We," or "Us") regarding your use of the ZAMU platform ("Platform").
By accessing, registering, or using ZAMU, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use this Platform.
2. Definitions
- ZAMU: The law firm case management and client engagement platform
- Account: Your unique user account with login credentials
- Content: Any data, documents, messages, forms, or information you upload or input
- Services: Case management, client intake, document handling, billing, and communication features
- Platform: The ZAMU website, application, and all associated features
3. User Eligibility & Account Registration
3.1 Eligibility Requirements
By using ZAMU, you represent and warrant that:
- You are at least 18 years of age (or the legal age of majority in your jurisdiction)
- You have the legal capacity to enter into contracts
- You are not prohibited by law from using ZAMU
- You are a client of HK Law Advocates or an authorized member of firm staff
3.2 Account Registration
- You are responsible for maintaining the confidentiality of your password and account credentials
- You must provide accurate, current, and complete information during registration
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorized access or security breach
- We reserve the right to suspend or terminate accounts that provide false information
4. Acceptable Use Policy
You agree NOT to:
- Use ZAMU for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Platform or its systems
- Modify, reverse-engineer, or attempt to discover the source code of ZAMU
- Transmit viruses, malware, or any other harmful code
- Harass, threaten, defame, or abuse other users
- Disclose confidential information of other clients or parties
- Upload files containing illegal content or materials
- Attempt to circumvent security measures or access controls
- Use ZAMU for unauthorized business purposes outside your engagement with HK Law Advocates
- Impersonate any person or entity
- Engage in any form of fraud or misrepresentation
5. Intellectual Property Rights
5.1 Platform Ownership
ZAMU, including all software, code, design, content, and features, is owned by HK Law Advocates or its licensors. All intellectual property rights are reserved.
5.2 Your Content
- You retain ownership of content (documents, information) you upload to ZAMU
- By uploading content, you grant the Firm a non-exclusive license to use, store, and process it for service delivery
- You warrant that you own or have rights to the content you upload
- You are responsible for any copyright, privacy, or third-party rights violations related to your content
5.3 Restricted Use of Platform Content
Unless otherwise authorized in writing, you may not copy, distribute, modify, or create derivative works of any Platform content, including templates, forms, or guidance materials.
6. Confidentiality & Privilege
6.1 Attorney-Client Privilege
Communications and information provided to HK Law Advocates through ZAMU are intended to be protected by attorney-client privilege and work product doctrine. However, you acknowledge:
- The Firm staff may have access to your matter for case management purposes
- Privilege may be waived if information is disclosed to unauthorized third parties
- You must comply with the Firm's confidentiality instructions
6.2 Confidential Information
- You will not disclose confidential information of other clients or parties
- You must protect login credentials and restrict access to your account
- You are responsible for any unauthorized disclosure through your account
7. Disclaimers
7.1 "As-Is" Service
ZAMU is provided "AS-IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. We do not warrant that ZAMU will be error-free, uninterrupted, or continuously available.
7.2 No Legal Advice
ZAMU is a case management platform. Any information provided through automated features (AI-assisted services) is not a substitute for direct attorney advice. You should consult directly with your attorney before making legal decisions.
7.3 Technology Limitations
We are not responsible for system failures, data loss, or interruptions caused by circumstances beyond our reasonable control, including but not limited to: server crashes, network failures, power outages, or security breaches.
7.4 Data Accuracy
We do not warrant the accuracy, completeness, or timeliness of information displayed on ZAMU. You are responsible for verifying critical information independently.
8. Limitation of Liability
8.1 Cap on Damages
EXCEPT WHERE PROHIBITED BY LAW, HK LAW ADVOCATES SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Failure to receive services or delays in service delivery
- Unauthorized access to or alteration of your content
- Any damages arising from your use or inability to use ZAMU
MAXIMUM LIABILITY: Our total liability shall not exceed the fees paid by you (if any) in the 12 months preceding the claim, or $100 USD, whichever is greater.
8.2 Exceptions
These limitations do not apply to: (a) death or personal injury; (b) fraud or fraudulent misrepresentation; (c) our gross negligence or willful misconduct; or (d) any liability that cannot be limited by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless HK Law Advocates and its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:
- Your violation of these Terms
- Your use of ZAMU
- Your content or information provided
- Your infringement of third-party rights
- Your violation of applicable laws
10. Termination & Suspension
10.1 Termination by You
You may terminate your account at any time by notifying the Firm in writing. Upon termination, your access will be revoked, but we may retain your data as required by law and professional standards.
10.2 Termination by HK Law Advocates
We may suspend or terminate your account immediately without liability if you:
- Violate these Terms
- Engage in harmful, illegal, or unethical conduct
- Fail to pay fees owed to the Firm
- Breach confidentiality or privilege
- Impersonate others or provide false information
10.3 Effect of Termination
Upon termination:
- Your access to ZAMU will be immediately revoked
- We may delete your account data after a retention period
- You remain bound by confidentiality obligations
- Surviving provisions (liability, indemnification, governing law) remain in effect
11. Modifications to Terms & Platform
We reserve the right to modify these Terms at any time. Changes will be effective upon posting with updated "Last Updated" date. Your continued use constitutes acceptance of modified Terms.
We also reserve the right to modify, suspend, or discontinue ZAMU features with reasonable notice.
12. Payment & Billing
12.1 Fees & Charges
As a client of Hk Law Advocates, you may be charged fees for legal services, as outlined in your engagement letter or fee agreement. ZAMU access may be included at no additional charge or as a specified service cost.
12.2 Payment Methods
We accept payment via M-Pesa and other methods. Payment processing is handled securely through third-party providers.
12.3 Billing Disputes
All billing disputes must be raised in writing within 30 days of invoice date. Continued platform use does not waive disputes.
13. Security Responsibilities
13.1 Our Responsibilities
- Implement reasonable security measures to protect your data
- Use encryption for data transmission and storage
- Maintain access controls and regular security assessments
- Notify you of security breaches as required by law
13.2 Your Responsibilities
- Keep your password confidential and secure
- Log out of ZAMU when finished, especially on shared devices
- Report suspicious activity immediately
- Do not use public WiFi for sensitive transactions
- Keep your devices and browsers updated
14. Third-Party Services & Links
ZAMU may integrate with or link to third-party services (payment processors, cloud storage, AI providers). We are not responsible for third-party services, their privacy practices, or content. Your use is subject to their terms.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of Kenya, without regard to its conflict of law principles.
15.2 Jurisdiction & Venue
You and HK Law Advocates consent to the exclusive jurisdiction and venue of courts in Nairobi, Kenya.
15.3 Dispute Resolution Process
- Attempt to resolve disputes informally through correspondence with the Firm
- If unresolved, escalate to firm management for review
- If still unresolved, the matter may be litigated in Kenyan courts or arbitration may be pursued
16. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or severed. The remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, along with your engagement letter and any separate written agreements with HK Law Advocates, constitute the entire agreement regarding your use of ZAMU. No prior negotiations, discussions, or agreements supersede these Terms.
